Sales Terms & Conditions

Goods supplied on credit are sold subject to the standard terms and conditions of Blackstone set out on the invoice for those goods.

Unless otherwise specified, all prices are quoted nett ex-works Singapore excluding freight, carriage, insurance and non-standard packaging charges.

Goods supplied on credit must be paid in full within the stipulated term from the date of invoice in which the goods are supplied and Blackstone reserves the rights to charge the interest at the rate of 1.5% per month on all amounts outstanding after the due payment date. If such interest is chargeable, it shall be for the period commencing from due payment date to the date of actual payment.

Goods sold are not returnable.

Order is considered confirmed when it is received in the form of facsimile, official purchase order, and e-mail.

A cancellation charge of 25% of the purchase order amount is applied if purchase order is cancelled within 3 days from date of receiving purchase order.
A cancellation charge of 40% of the invoiced amount is applied if purchase order is cancelled after Blackstone has purchased and started work on the said purchase order.
We will not entertain cancellation on a completed job; full purchase order amount will be invoiced.

RESERVATION OF TITLE
Goods supplied by Blackstone remain the property of Blackstone until paid for in full.
Goods supplied by Blackstone shall be held by the customer on trust for Blackstone and as agents of Blackstone and not otherwise until such goods have been paid for in full.
Goods supplied by Blackstone shall not be sold or otherwise disposed of the said goods until they have been paid for in full.

Customers shall properly secure, insure and account for the goods while they are in their possession and shall be kept them separate from other goods until they have been paid for in full.

Should a receiver or a receiver and manager or a liquidator be appointed to buyer, or should bankruptcy proceedings be commenced against the buyer, customer should undertake to inform Blackstone immediately and acknowledge that all amounts then outstanding shall become immediately due and payable. Blackstone is hereby authorized to recover any goods for which payment is still outstanding, and for that purpose may enter any premises where those goods are stored.

INTELLECTUAL PROPERTY
Unless otherwise agreed in writing with Blackstone, copyright exists in all property and documents supplied to the buyer or produced by Blackstone under the buyer’s instructions and are retained by Blackstone. The contents of such documents or any part thereof shall not be disseminated in any form to any unauthorized person, institution, organization or company either directly or indirectly without the prior consent, in writing of Blackstone.
The intellectual property rights in or relating to the goods shall remain exclusively the property of Blackstone and neither the buyer nor any agent or sub-contactor or any other person authorized by the buyer shall, at any time, make use of it without prior written authorization.

All Blackstone specifications, software, firmware, drawings and technical details submitted with, in support or in connection with our quotation are our exclusive copyright property and material. All such material, information and application knowledge, whenever supplied, shall at all times be treated by the buyer or its employees or authorized persons, as confidential and shall not be used, without Blackstone consent.

DISPUTES & ARBITRATIONS
Any and all disputes which cannot be settled between the buyer and Blackstone in amicable dialogue shall be passed to arbitration for resolution which shall be final and binding on both parties. Arbitration shall be in Singapore and governed by the International Rules of Arbitration.

Service Terms & Conditions

Services perform are subject to the standard terms and conditions of Blackstone set out below.

Services performed must be paid in full within the stipulated term from the date of invoice. Blackstone reserves the rights to charge the interest at the rate of 1.5% per month on all amounts outstanding after the due payment date. If such interest is chargeable, it shall be for the period commencing from due payment date to the date of actual payment.

Order is considered confirmed when it is received in the form of facsimile, official purchase order, and e-mail.
A cancellation charge of 25% of the service order is applied if service order is cancelled within 3 days from date of receiving it.
A 100% charge for parts purchased under the service order will be invoiced if the service order is cancelled due to whatever reason.

Service Rate:

Services in Singapore : S$ 350 per man per day for weekdays (normal working hours). After office hour S$ 65 per man per hour . Mid-night charge at S$ 120 per man per hour.

Services outside Singapore: USD 300 per man per day
Air ticket and accommodation to be charged at cost.
Travelling and waiting time is also included in our charge.

Limited Warranty

Blackstone switchgears are manufactured to meet or exceed installation specifications and requirements. Every system is tested at Blackstone factory.

COVERAGE
Blackstone warrants switchgear against defective parts and workmanship for a period of one year.

DURATION
The warranty period begins on the start-up date. The start-up date will be the date that the Blackstone authorized engineer completes the start-up procedures as agreed to in the Blackstone project quotation. Customer acceptance does not alter this date. Start-up cannot exceed half year from ship date. When no start-up service is provided by Blackstone, warranty period begins the date the product ships from the Blackstone factory.

OWNER RESPONSIBILITIES
Switchgear must be tested once a month and inspected once a year by qualified personnel. Product must be kept free of debris, foreign matter and excess moisture. All service, repairs, maintenance and/or modifications must be performed by qualified personnel. Preventive maintenance must be performed on all applicable components including circuit breakers according to manufacturer requirements. The costs of this maintenance are the owner’s responsibility. Failure to follow this procedure will void the balance of the warranty.

WARRANTY LIMITATIONS
Blackstone will not be liable for damage or accidents caused by improper application, improper installation, lack of maintenance, shipping damage, improper storage and all other forces outside of the Blackstone factory.

This warranty applies to original owner and cannot be transferred without the written approval from Blackstone factory.

Transportation and shipping costs are not covered by this warranty.

Investigative labour will not be covered by this warranty if the Blackstone product in question proves to be functioning properly or, if the service is caused by the failure to meet owner’s responsibility. Blackstone has the right to charge man-hour rate.

This warranty does not cover routine maintenance or expendable parts such as light bulbs, fuses and the like. Failure of components where preventive maintenance is required (such as circuit breakers) and where such maintenance is not performed and documented will not be covered.

Blackstone will not pay for installation or removal of product during warranty repair.

Blackstone does not authorize any person to alter this warranty, and/or assume any other obligations or liability on its behalf unless otherwise stated in the contract.

Customer acceptance does not alter the start-up date.

This warranty does not cover incidental or consequential damages including but not limited to rental equipment and/or any expenses, losses, or costs due to down time of product.

All implied warranties including the warranties of merchantability and fitness for use are limited to a period of one year from the date of shipping from factory.

Blackstone will not pay for freight or customs charges on replacements for international sales.
